Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer," "you," or "your") and Foxble LLC, a California limited liability company ("Foxble," "we," "us," or "our"), governing your access to and use of the Foxble platform, including the FXB Tracking dashboard, mobile interfaces, APIs, email and SMS notifications, and all related services (collectively, the "Service").

By accessing or using the Service, creating an account, or clicking "I Agree," you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.

If you are using the Service on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms, and "you" refers to both you individually and that organization.

If you do not agree to these Terms, do not use the Service.


2. Definitions

  • "Account" means a registered account used to access the Service.
  • "Customer Data" means all data, including location data, sensor readings, device telemetry, and related information, submitted to or collected by the Service in connection with your use.
  • "Device" means any IoT hardware (including Nordic Thingy:91 X or compatible devices) connected to the Service.
  • "Geofence" means a virtual geographic boundary configured within the Service to trigger alerts or record events.
  • "Operator Group" means a sub-group within a tenant account used to organize devices and users.
  • "Platform" means the Foxble web application, APIs, and supporting infrastructure.
  • "Subscription" means a paid plan granting access to the Service for a specified period.
  • "Tenant" means an organization that has contracted with Foxble to use the Service.
  • "User" means any individual granted access to the Service under a Tenant account, including tenant administrators, operators, and viewers.

3. Account Registration and Access

3.1 Eligibility

You must be at least 18 years of age and capable of forming a binding contract to use the Service. The Service is intended for business use only and is not directed at consumers for personal, family, or household purposes.

3.2 Account Creation

To access the Service, you must register for an account and provide accurate, complete, and current information. You agree to keep your account information up to date.

3.3 Account Security

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to notify Foxble immediately at legal@foxble.com if you become aware of any unauthorized access to your account. Foxble is not liable for any loss or damage arising from your failure to maintain account security.

3.4 Account Tiers

The Service supports multiple user roles including super administrators, tenant administrators, operators, and viewers. Each role carries different levels of access and responsibility as configured within the platform. Tenant administrators are responsible for managing the Users within their organization and ensuring all Users comply with these Terms.


4. Subscriptions and Payment

4.1 Subscription Plans

Access to the Service requires a paid Subscription. Subscription plans, pricing, and features are described on our website or in a separately executed order form or agreement. Foxble reserves the right to modify pricing with reasonable prior notice.

4.2 Billing

Subscriptions are billed in advance on a recurring basis (monthly or annually, as selected). By providing payment information, you authorize Foxble to charge the applicable fees to your payment method on each billing cycle.

4.3 Taxes

Prices do not include applicable taxes. You are responsible for all taxes, duties, and similar charges associated with your Subscription.

4.4 Late Payments

Unpaid amounts are subject to a finance charge of 1.5% per month on the outstanding balance, or the maximum permitted by law, whichever is lower. Foxble reserves the right to suspend or terminate access to the Service for non-payment.

4.5 Refunds

All fees are non-refundable except as expressly set forth in these Terms or required by applicable law. If you cancel your Subscription, you will retain access through the end of the current billing period.

4.6 Free Trials

Foxble may offer a free trial period at its discretion. At the end of a free trial, continued use of the Service requires a paid Subscription. Foxble reserves the right to modify or terminate free trial offers at any time.


5. License and Permitted Use

5.1 License Grant

Subject to your compliance with these Terms and payment of applicable fees, Foxble grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service during your Subscription term solely for your internal business purposes.

5.2 Restrictions

You agree not to:

  • Copy, modify, distribute, sell, or sublicense the Service or any part thereof;
  • Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Service;
  • Access the Service to build a competitive product or service;
  • Use the Service to track any individual without their knowledge or consent where required by applicable law;
  • Use the Service in any manner that violates any applicable federal, state, local, or international law or regulation, including laws governing privacy, data protection, employment, and GPS tracking;
  • Introduce viruses, malware, or other harmful code;
  • Attempt to gain unauthorized access to any portion of the Service or its related systems;
  • Remove or obscure any proprietary notices or labels on the Service;
  • Use the Service to harass, stalk, or harm any individual.

5.3 Acceptable Use

You are solely responsible for ensuring that your use of the Service — including the deployment and tracking of Devices — complies with all applicable laws, including laws governing employee monitoring, vehicle tracking, consent requirements, and privacy. Foxble makes no representation that the Service is appropriate or lawful in all jurisdictions.


6. Customer Data

6.1 Ownership

As between you and Foxble, you retain all ownership rights in and to your Customer Data. You grant Foxble a non-exclusive, worldwide, royalty-free license to process, store, and use Customer Data solely as necessary to provide and improve the Service and as described in our Privacy Policy.

6.2 Your Responsibilities

You represent and warrant that:

  • You have all rights, consents, and authorizations necessary to provide Customer Data to the Service;
  • Customer Data does not violate any applicable law or third-party rights;
  • You have obtained any required consent from individuals whose location or personal data is collected through the Service.

6.3 Data Security

Foxble implements reasonable technical and organizational measures to protect Customer Data against unauthorized access, disclosure, alteration, or destruction. However, no security system is impenetrable and Foxble cannot guarantee the absolute security of your data.

6.4 Data Retention

Foxble retains Customer Data for the maximum period permitted by applicable law, or as otherwise agreed in writing. Upon termination of your Subscription, Foxble may delete Customer Data in accordance with its data retention schedule after a reasonable transition period.


7. Location Tracking and Geofencing

7.1 Nature of Service

The Service collects GPS and location data from connected Devices via cellular networks and cloud APIs. Location accuracy depends on network availability, device hardware, environmental conditions, and third-party services outside Foxble's control. Foxble does not guarantee the accuracy, completeness, or real-time delivery of location data.

7.2 Geofencing

The Service allows you to configure geofences with defined radius boundaries. Entry, exit, and dwell-time notifications are based on reported device coordinates and are subject to the same accuracy limitations described above.

7.3 Consent and Compliance

You are solely responsible for obtaining any legally required consent from individuals whose location is tracked using the Service, including but not limited to employees, contractors, and vehicle operators. Foxble is not liable for your failure to comply with applicable tracking, consent, or privacy laws.


8. Notifications

The Service may send email and SMS notifications based on device activity, geofence events, and journey completions. Delivery of notifications depends on third-party services (including AWS SES and SMS carriers) and cannot be guaranteed. Standard message and data rates from your wireless carrier may apply to SMS notifications. You are responsible for ensuring notification recipient lists are accurate and that recipients have consented to receive such communications where required by law.


9. Third-Party Services

The Service integrates with third-party services including AWS (cloud infrastructure), nRF Cloud (device connectivity), OpenStreetMap (mapping), and SMS and email delivery providers. Your use of the Service is subject to any applicable terms and policies of those third-party services. Foxble is not responsible for the availability, accuracy, or performance of any third-party service.


10. Intellectual Property

The Service, including all software, algorithms, designs, text, graphics, and other content (excluding Customer Data), is owned by Foxble or its licensors and is protected by intellectual property laws. Nothing in these Terms grants you any right, title, or interest in the Service other than the limited license described in Section 5.

All feedback, suggestions, or ideas you provide regarding the Service may be used by Foxble without restriction or compensation to you.


11. Confidentiality

Each party agrees to keep confidential the other party's non-public business information, technical data, and pricing disclosed in connection with the Service, and not to disclose such information to third parties without prior written consent, except as required by law or to fulfill obligations under these Terms.


12. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FOXBLE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

FOXBLE DOES NOT WARRANT THAT:

  • THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE;
  • LOCATION DATA WILL BE ACCURATE, COMPLETE, OR REAL-TIME;
  • NOTIFICATIONS WILL BE DELIVERED IN A TIMELY MANNER OR AT ALL;
  • THE SERVICE WILL MEET YOUR SPECIFIC REQUIREMENTS.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

13.1 IN NO EVENT SHALL FOXBLE, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, OR COST OF SUBSTITUTE SERVICES, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE USE OF OR INABILITY TO USE THE SERVICE, EVEN IF FOXBLE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

13.2 FOXBLE'S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE, WHETHER IN CONTRACT, TORT, OR OTHERWISE, SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO FOXBLE IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

13.3 SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IN SUCH JURISDICTIONS, FOXBLE'S LIABILITY IS LIMITED TO THE FULLEST EXTENT PERMITTED BY LAW.


14. Indemnification

You agree to indemnify, defend, and hold harmless Foxble and its officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in connection with:

  • Your use of the Service in violation of these Terms;
  • Your violation of any applicable law, including privacy and tracking laws;
  • Your Customer Data, including any claim that Customer Data infringes or misappropriates any third-party right;
  • Your failure to obtain required consent from tracked individuals;
  • Any dispute between you and a third party.

15. Term and Termination

15.1 Term

These Terms commence on the date you first access the Service and continue for the duration of your active Subscription, unless earlier terminated in accordance with this Section.

15.2 Termination by You

You may cancel your Subscription at any time through your account settings or by contacting Foxble. Cancellation takes effect at the end of the current billing period.

15.3 Termination by Foxble

Foxble may suspend or terminate your access to the Service immediately upon notice if:

  • You breach any provision of these Terms and fail to cure such breach within 10 days of notice;
  • You fail to pay any fees when due;
  • Foxble is required to do so by law;
  • Foxble discontinues the Service.

15.4 Effect of Termination

Upon termination, your license to use the Service ceases immediately. Sections 6, 10, 12, 13, 14, 16, and 17 survive termination.


16. Governing Law and Dispute Resolution

16.1 Governing Law

These Terms are governed by the laws of the State of California, without regard to its conflict of law provisions.

16.2 Dispute Resolution

Any dispute arising out of or relating to these Terms or the Service shall first be addressed through good-faith negotiation between the parties. If the dispute is not resolved within 30 days, it shall be submitted to binding arbitration in San Francisco, California, under the rules of the American Arbitration Association (AAA), except that either party may seek injunctive or other equitable relief in any court of competent jurisdiction.

16.3 Class Action Waiver

TO THE EXTENT PERMITTED BY LAW, YOU WAIVE ANY RIGHT TO BRING OR PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION, OR REPRESENTATIVE PROCEEDING AGAINST FOXBLE.

16.4 Venue

For matters not subject to arbitration, you consent to the exclusive jurisdiction of the state and federal courts located in San Francisco County, California.


17. General Provisions

17.1 Entire Agreement

These Terms, together with the Privacy Policy and any applicable order forms or addenda, constitute the entire agreement between you and Foxble regarding the Service and supersede all prior agreements and understandings.

17.2 Amendments

Foxble may update these Terms from time to time. We will notify you of material changes by email or through the Service. Your continued use of the Service after the effective date of updated Terms constitutes your acceptance of the changes.

17.3 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

17.4 Waiver

Foxble's failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

17.5 Assignment

You may not assign or transfer your rights under these Terms without Foxble's prior written consent. Foxble may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of its assets.

17.6 Force Majeure

Foxble is not liable for any delay or failure to perform resulting from causes beyond its reasonable control, including natural disasters, acts of government, internet or network outages, or third-party service failures.

17.7 Export Compliance

You agree to comply with all applicable export control laws and regulations in connection with your use of the Service.
